i will be participating in the search for my successor, and i will continue the ceo until the board selects a new ceo. once a successor is named, i will return to my previous role as chief yahoo and continue to serve as director on the board.
last june, i accepted the boards request that i assume the ceo role to restructure and reposition the company as a whole in order to effectively meet the fast -changing needs of both users and partners. since taking on the ceo role, i had an ongoing dialogue with the board about succession timing. thanks in large measure to your tireless efforts, we have created a more open, competitive yahoo! and we believe the time is now right to transition to a new ceo who can take the company to the next level.

1987年1月，雙方經(jīng)過(guò)協(xié)商同意簽定一份經(jīng)營(yíng)承包合同，發(fā)包方為××省××公司法人代表劉經(jīng)理；承包人是公司職工靳××；承包期限規(guī)定從1987年1月至1990年1月。根據(jù)合同第六條經(jīng)營(yíng)自主權(quán)規(guī)定：包括業(yè)務(wù)經(jīng)營(yíng)權(quán)，財(cái)務(wù)管理權(quán)，勞動(dòng)工資獎(jiǎng)金分配權(quán)等。自合同生效后，月月有盈利，全體從業(yè)人員在獎(jiǎng)金方面比過(guò)去得到了實(shí)惠。
但在本年10月，發(fā)包方以商店內(nèi)有四名職工檢舉揭發(fā)承包人有經(jīng)濟(jì)和違反政策等問(wèn)題，列舉了我四條罪狀，作出片面的處理決定，他們撕毀合同，解除我的承包人職務(wù)。對(duì)此，我申訴到上級(jí)省主管公司，未能合理解決，特依法提起訴訟。
首先，我對(duì)發(fā)包方對(duì)我作出的所謂四項(xiàng)經(jīng)濟(jì)問(wèn)題和違反政策罪狀的實(shí)際情況作以說(shuō)明，供法庭查證參考，以便作出公正的裁判。
發(fā)包方處理的第一個(gè)問(wèn)題是：“我用現(xiàn)金在商店套換轉(zhuǎn)帳支票給個(gè)體戶購(gòu)買(mǎi)原料，給國(guó)家造成稅收損失元”；
這一問(wèn)題的實(shí)際情況是：我們承包合同第二條承包范圍中（5）公司提供流動(dòng)資金人民幣叁萬(wàn)元（其中包括庫(kù)存貨物）。以此微薄地資金是不可能開(kāi)展扭虧為盈的承包局面的，況且?guī)齑尕浳镏挥匈u(mài)出后才能變成流動(dòng)資金，如果減去貨物價(jià)值，資金更少了。因此，我憑個(gè)人往來(lái)，從針織品個(gè)體戶魯××處借現(xiàn)金七萬(wàn)元，兩個(gè)月后全部還清。我借入現(xiàn)金存入銀行，有帳可據(jù)，但從銀行再提出七萬(wàn)元現(xiàn)金還債是不可能的，因而只能用支票去還債。這有什么不對(duì)？我因公借款，以支票還債，這對(duì)稅收有何損害？如有稅務(wù)問(wèn)題，為什么稅務(wù)機(jī)關(guān)一直沒(méi)來(lái)查處？因此，發(fā)包方說(shuō)我以現(xiàn)金套換支票，這是得了便宜還罵人的不義之說(shuō)，我不能接受。
第二個(gè)問(wèn)題是：“代銷(xiāo)商品不入庫(kù)、不走帳，商品售出撕毀小票，范文《經(jīng)營(yíng)承包合同糾紛起訴狀民事訴訟文書(shū)》。進(jìn)銷(xiāo)差款不入帳，并隨意支出，違反了國(guó)家財(cái)經(jīng)管理制度，影響了承包人、商店、及公司的利益?！?/p>
這個(gè)問(wèn)題是帶有歷史性的，實(shí)際是：掌管這一代銷(xiāo)業(yè)務(wù)的負(fù)責(zé)人是上任就負(fù)責(zé)此項(xiàng)工作的副經(jīng)理王××。此人是前一任的副經(jīng)理，我承包后原職不變。代銷(xiāo)貨進(jìn)銷(xiāo)差額保留在所謂“小金庫(kù)”的事，都由王××專(zhuān)管，不是不入帳，也不是隨意支出。這種“小金庫(kù)”的收支直接和職工福利掛勾，是從我的前任到我經(jīng)手一直由這個(gè)副經(jīng)理王××專(zhuān)管。但在他檢舉了我之前，我問(wèn)過(guò)他存多少錢(qián)？他說(shuō)四、五百元。當(dāng)他檢舉我之后，又說(shuō)把錢(qián)給我了。向他要帳，說(shuō)燒了。從這個(gè)經(jīng)過(guò)看來(lái)，這個(gè)不光彩的“小金庫(kù)”不是從我做起，更不是由我專(zhuān)管。這是沿襲下來(lái)的弊病。王××是沿續(xù)管理的人負(fù)責(zé)，請(qǐng)法庭詳查。
第三個(gè)問(wèn)題，說(shuō)我虛報(bào)考勤套取工資，絕無(wú)此事。有考勤表可查，更有考勤員薛××可證，這個(gè)問(wèn)題是強(qiáng)加于我的陷害。
第四個(gè)問(wèn)題，說(shuō)我用人不當(dāng)，給商店人員思想造成混亂。這個(gè)問(wèn)題才是主要的關(guān)鍵所在。自我承包后，經(jīng)濟(jì)搞活了，收支有盈余，職工資金增多，以王××為首的人既羨慕又嫉妒，這才出現(xiàn)排擠我的苗頭。就在這承包的一年中，揭發(fā)檢舉我的四個(gè)人有三個(gè)人因犯錯(cuò)誤被我調(diào)換了工作。
①劉××是收款員、承包后出問(wèn)題，被我撤換了，其問(wèn)題我已向公司作了匯報(bào)，調(diào)為營(yíng)業(yè)員；
②閻××是營(yíng)業(yè)員，因出問(wèn)題被我調(diào)做收款員；
③劉×是出納員，她是發(fā)包人劉×經(jīng)理的妹妹，也因事故我準(zhǔn)備調(diào)換工作，和她談過(guò)就是這三個(gè)人加上上屆的副經(jīng)理王××，共同出頭，向公司檢舉我，引起這個(gè)中途撕毀合同的事件發(fā)生。
對(duì)此，我認(rèn)為發(fā)包方和上級(jí)主管公司，沒(méi)有深入調(diào)查研究，主觀作出決定是不對(duì)的。
當(dāng)前在城市企業(yè)改革中，許多企業(yè)建立各種形式的經(jīng)濟(jì)責(zé)任制，訂立生產(chǎn)經(jīng)營(yíng)承包合同，這是經(jīng)濟(jì)體制改革的新事物。它與經(jīng)濟(jì)合同有頗多相似之處。因此，《經(jīng)濟(jì)合同法》應(yīng)當(dāng)是調(diào)整這類(lèi)經(jīng)濟(jì)關(guān)系，解決承包合同糾紛的主要依據(jù)。為此，請(qǐng)求法庭依照經(jīng)濟(jì)合同法的違約規(guī)定給予公平處理，是所至盼。
